§ 1 Scope and Purpose
These General Terms and Conditions (GTC) apply to all contracts for the provision of services, in particular in the fields of custom software development, AI consulting, app development, and cloud infrastructure services between q23.medien GmbH (hereinafter "Contractor") and its contractual partners (hereinafter "Client"). Deviating conditions of the Client are not recognized.
§ 2 Subject Matter & Scope of Services
The specific scope of services and the remuneration are regulated in the respective offer or individual contract. The Contractor provides its services in accordance with the recognized rules of technology and with the diligence of a proper software engineering company. Unless explicitly agreed upon in writing, the achievement of a specific commercial success is not owed.
§ 3 Cooperation Obligations of the Client
The Client supports the Contractor in providing the owed services. In particular, the Client provides the Contractor with all information, access, specialist departments, and data necessary for project execution in a timely, complete, and cost-free manner.
§ 4 Remuneration, Payment & Late Payment
Unless otherwise agreed, remuneration is based on actual effort on the basis of daily or hourly service rates. Invoices are due for payment without deduction within 14 days of the invoice date. All prices are subject to the statutory value-added tax.
§ 5 Copyrights & Usage Rights
The Contractor grants the Client, upon full payment of the owed remuneration, a simple, temporally and spatially unrestricted right of use in the work results created by the Contractor (e.g. source codes, documentations, concepts) for the contractually agreed purpose. A transfer of exclusive rights requires a written individual agreement.
§ 6 Final Provisions & Jurisdiction
The law of the Federal Republic of Germany applies under exclusion of the UN Convention on Contracts for the International Sale of Goods. The exclusive place of jurisdiction for all disputes arising out of or in connection with this contract is Berlin, provided the Client is a merchant or a legal entity under public law.
